LLCs

Every Florida and foreign LLC must designate a registered agent with a Florida street address at the time of formation or qualification. The registered agent must sign the articles or the application to confirm acceptance of the appointment.

General Partnerships

Limited Liability Partnerships

Florida Registered Agent Consent Forms

Florida does not use a standalone registered agent consent form filed separately with the Division of Corporations. Consent is documented directly within the formation or qualification document itself. Each article of incorporation, articles of organization, certificate of limited partnership, and qualification application contains a signature block where the registered agent must sign, affirming familiarity with and acceptance of the obligations of the position. This signed acceptance, embedded in the filed document, constitutes the agent’s consent. No additional or separately retained consent form exists.

Changing a Florida Registered Agent or Registered Office (Filed by Entity)

LLPs do not have a dedicated change-of-agent form. An LLP changes its agent for service of process by filing an Amend Statement for $25.00.

Registered Agent Resignation Forms in Florida

A registered agent may resign from a Florida or foreign entity by filing the appropriate resignation form. The agency terminates on the thirty-first day after the filing date, and the agent must mail a copy of the resignation to the entity at its last known address prior to filing. Fees differ depending on whether the entity is active or has been dissolved, withdrawn, or administratively revoked.

Is the registered agent consent form required to be filed with the Florida Secretary of State?
